Neighborly Wellness Affiliate Program Operating Agreement

This Affiliate Program Operating Agreement ("Operating Agreement") governs your participation in the Neighborly Wellness Affiliate Program (“Program”). “We,” “us,” or “our” refers to Neighborly Wellness, LLC, powered by GoAffPro for affiliate tracking. “You” or “your” refers to the applicant. The “Partner Site” is https://neighborlywellness.com, and “your site” includes any platform you use to share referral links.

By participating in the Program, you agree to be bound by this Operating Agreement and confirm that:

You are legally able to enter into this contract.
You have independently evaluated your participation.
You understand and will comply with the Program requirements and terms outlined here.

1. Program Overview

The Program allows you to earn commissions (“Advertising Fees”) for qualifying sales made on neighborlywellness.com through your unique referral link (“Special Links”). Qualifying sales include Neighborly Wellness products unless explicitly excluded.

We provide banners, links, product data, and other marketing content (“Content”) for your use in promoting Neighborly Wellness.

2. Enrollment

You must submit a complete and truthful application identifying your website or promotional channel. We reserve the right to reject applications at our sole discretion, especially those promoting:

Adult or violent content
Discriminatory or illegal activities
Trademark infringement or unethical practices

If accepted, you are responsible for keeping your contact and promotional information accurate.

3. Use of Special Links

Once accepted, you may place Special Links on your site or promotional platforms. These must be formatted correctly using the tools provided through GoAffPro to ensure proper tracking.

If promoting through a mobile application, you must disclose this in your application and follow the Mobile Application Policy outlined at the end of this Agreement.

4. Program Requirements

You agree to:

Follow all branding and compliance guidelines.
Refrain from making unapproved claims, offers, or promises.
Only use Content provided or approved by Neighborly Wellness.
Respond to verification or audit requests by our team.
Not post affiliate links or codes on coupon sites, search engine ads, or offer incentives that violate this agreement.

5. Your Responsibilities

You are responsible for your promotional content, site maintenance, audience engagement, and legal compliance (including privacy policies and FTC disclosures). You must not mislead customers or misrepresent your relationship with Neighborly Wellness.

You agree to indemnify us against any claims arising from your site, actions, or content.

6. Order Processing

Neighborly Wellness is responsible for all product order processing, customer service, shipping, and returns. You will receive access to reporting tools for tracking your referrals and commissions.

7. Commissions (Advertising Fees)

You earn a commission for each verified Qualifying Purchase made via your Special Link within a 24-hour cookie window. The cookie resets only if another affiliate link is used.

You will not receive commission for:

Your own purchases
Canceled or refunded orders
Incomplete or improperly tracked referrals
Bulk, resale, or commercial orders
Any sale made via coupon websites or incentivized platforms

8. Payments

Affiliate commissions are paid monthly, approximately 60 days after the close of the month of the sale, subject to a minimum payout threshold of $25 USD.

You must provide accurate payment details (e.g., PayPal or bank transfer). Taxes and reporting are your responsibility based on your local laws. For U.S. residents, a W9 form may be required.

9. Customer Relationship

All customers referred through your affiliate link remain customers of Neighborly Wellness. We reserve the right to change pricing, product availability, and site policies at any time.

10. Promotional Transparency

You must clearly disclose your affiliate relationship. Example:

"[Your Name] is a participant in the Neighborly Wellness Affiliate Program, an affiliate advertising program designed to provide a means for sites to earn fees by promoting natural wellness products."

Do not make misleading claims or suggest endorsement without permission.

11. License & Brand Use

You are granted a limited, non-transferable license to use our Content and branding solely to promote Neighborly Wellness under the terms of this agreement. This license will terminate immediately if you breach any part of this agreement.

12. Intellectual Property & Submissions

All intellectual property remains the sole property of Neighborly Wellness. If you submit content, reviews, or feedback, you grant us permission to use it for marketing or editorial purposes.

13. Legal Compliance

You agree to follow all local, state, and federal laws—including advertising, privacy, and tax regulations.

14. Termination

This agreement remains active until either party terminates it in writing. Upon termination:

You must remove all links and branding.
We may withhold final payments for 60 days to account for returns or fraud.
Surviving clauses include Sections 5, 7, 9, 10, 12, and 17–20.

15. Modifications

We may update this agreement at any time. Continued participation after updates constitutes your acceptance. If you do not agree, you may terminate your participation.

16. Relationship of Parties

This is an independent contractor relationship. Nothing here shall be construed as creating a joint venture, partnership, or employment arrangement.

17. Limitation of Liability

Neighborly Wellness is not liable for indirect or consequential damages. Our total liability will not exceed the total commissions paid to you in the previous 12 months.

18. Disclaimers

All services, software, and materials are provided “as is.” We do not guarantee uninterrupted service, error-free links, or specific earnings.

19. Governing Law

This agreement is governed by the laws of the State of Oklahoma, and any disputes will be handled in the courts of Oklahoma County.

20. Miscellaneous

We may work with other affiliates, including those promoting similar products. You may not assign this agreement without written consent. Any confidential information shared must be protected.

Mobile Application Policy

To promote through a mobile app, the app must:

Be free to download and use
Contain original content
Not emulate Neighborly Wellness website functionality
Not include price tracking unless approved
